  1. Agreement to Terms

Welcome to PMGAutomation ("PMGAutomation," "we," "us," or "our"). By accessing our website (pmgautomation.com) or engaging our services, you ("Client," "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.

As PMGAutomation currently operates as an independent freelancer, these Terms constitute a legally binding agreement between you and the individual operating PMGAutomation.

  1. Services and Statements of Work

PMGAutomation provides custom AI automation services and AI consulting services. The specific scope of work, deliverables, timelines, and fees for each project will be defined in a separate written Proposal or Statement of Work ("SOW") agreed upon by both parties.

In the event of a conflict between these Terms and a specific SOW, the terms of the SOW shall govern regarding project scope and commercial terms, but these Terms shall govern regarding legal liability, warranties, and indemnification, thereby providing maximum protection to PMGAutomation.

  1. Client Obligations

For PMGAutomation to deliver services effectively, you agree to:

  1. Provide complete, accurate, and timely information regarding your business processes.

  2. Grant timely and necessary access to third-party software, accounts, API keys, and data required for the build.

  3. Provide timely feedback, approvals, and testing responses as requested.

  1. Guarantees and Conditions

PMGAutomation is proud to offer specific performance and delivery guarantees, subject to the following conditions:

  1. On-Time Delivery Guarantee: We offer a 10% discount on the build fee for every full week the project is delivered late past the agreed-upon deadline in the SOW. Exception: This guarantee is strictly contingent on the Client meeting all obligations. If project delays are caused by the Client (e.g., failure or delay in providing API keys, system access, feedback, or scope changes), the deadline will be paused or extended accordingly, and the On-Time Delivery Guarantee will be voided.

  2. Total Satisfaction Guarantee: If the automated systems do not meet the specific targets and metrics outlined and agreed upon in the SOW, we will work for free until those targets are met, or we will refund the build fee. This guarantee applies exclusively to the predefined metrics in the SOW and assumes the Client has not tampered with, altered, or misused the provided systems.

  1. Intellectual Property & 100% Ownership

Upon receipt of full payment for the build:

  1. Client Ownership: The Client is granted 100% ownership of the specific automation flows, prompt architecture, and custom integrations built specifically for them.

  2. Pre-existing IP: PMGAutomation retains all rights to any pre-existing templates, frameworks, scripts, general know-how, and open-source components used to create the deliverables. We reserve the right to use general knowledge and techniques gained during the engagement for future clients.

  1. Payment Terms & Maintenance Retainers

  1. Build Fees: Project build costs are fixed and will be outlined in your SOW. Payment schedules (e.g., upfront deposits, milestone payments) must be adhered to.

  2. Optional Maintenance Retainer: Clients may opt-in to a monthly maintenance retainer for ongoing support, bug fixes, and minor adjustments.

  3. Retainer Cancellation: The maintenance retainer may be canceled by either party at any time with a 30-day written notice.

  4. Late Payments & Right to Pause: If any invoice is not paid by its due date, PMGAutomation reserves the right to immediately pause all ongoing work, maintenance, and support until the outstanding balance is settled.

  1. Third-Party Services and APIs

Our automations rely heavily on third-party platforms (e.g., Make, Zapier, OpenAI, CRMs). PMGAutomation is not responsible or liable for:

  1. Changes in third-party API limits, pricing, or terms of service.

  2. Outages, downtime, or deprecation of third-party software.

  3. Any costs incurred directly by the Client from third-party software subscriptions or API usage fees.

  1. Confidentiality

Both parties agree to hold in strict confidence any proprietary, sensitive, or confidential information shared during the engagement, including but not limited to business processes, customer data, and trade secrets. This obligation survives the termination of this agreement.

  1. Limitation of Liability

To the maximum extent permitted by applicable law, PMGAutomation’s total liability for any claims, damages, or losses arising from our services or these Terms shall strictly not exceed the total fees paid by you to PMGAutomation in the six (6) months preceding the claim.

In no event shall PMGAutomation be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, business interruption, or reputational damage, even if advised of the possibility of such damages.

  1. Independent Contractor Status

PMGAutomation provides services strictly as an independent contractor. Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employer-employee relationship between the Client and PMGAutomation.

  1. Termination

Either party may terminate a service engagement or these Terms with 30 days' written notice. Upon termination, the Client is responsible for paying for all services rendered, hours logged, and milestones achieved up to the effective date of termination. PMGAutomation reserves the right to terminate services immediately without notice if the Client breaches these Terms (e.g., failure to pay, abusive behavior).

  1. Governing Law and Jurisdiction

These Terms and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law provisions. Any legal action or dispute resolution shall take place exclusively in the competent courts of Portugal.

  1. Changes to Terms

We reserve the right to update, change or replace any part of these Terms by posting updates to our website. Your continued use of or access to our website or services following the posting of any changes constitutes acceptance of those changes.
